Application<\/strong><\/p>\n<p>Unless a specific exemption applies or unless otherwise agreed in writing between the parties, these general terms and conditions (&#8220;general terms and conditions&#8221; or &#8220;agreement&#8221;) apply to all registrations and agreements for training courses provided by a subsidiary or affiliated company of RelyOn Belgium BV (&#8220;RelyOn&#8221;).<\/p>\n<p>&nbsp;<\/p>\n<p><strong>2. Registration and order confirmation<\/strong><\/p>\n<p>The reservation of a training course is deemed accepted after written confirmation by RelyOn or after written acceptance of a quote from RelyOn by the other party, regardless of whether this is a business customer or an individual customer acting on their own behalf (the &#8220;customer&#8221;).<\/p>\n<p>When reserving a training course, these general terms and conditions govern the relationship between RelyOn and the customer. The customer ensures that all persons (its employees, intermediaries, advisors, subcontractors, or the customer themselves if they are an individual customer acting on their own behalf) attending a training course reserved by the customer (a &#8220;participant&#8221;) comply with these general terms and conditions and fully adhere to them.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>3. Fees and payment<\/strong><\/p>\n<p>The fees for standard training courses are as stated in RelyOn\u2019s price list, which is valid from time to time and available upon request. Written quotes from RelyOn are valid for a period of 30 days from the date they are provided, but RelyOn may withdraw a quote at any time. The applicable fees are stated in the quote and are payable in the local currency, unless otherwise indicated. All prices are exclusive of VAT and any other taxes that, if applicable, must be paid in addition to the fees at the applicable rates. The fees include the costs of course documentation, course facilities, and equipment, unless otherwise agreed. Any invoice submitted by RelyOn to the customer must be paid in full by the customer without deduction or set-off, and in available funds, no later than 30 days after receipt of the invoice or as stated on the invoice. If the customer has not paid RelyOn by the due date, RelyOn may, without prejudice to any other rights or remedies available to RelyOn, (1) charge a lump-sum compensation of 10% of the invoice amount, with a minimum of \u20ac100 and a maximum of \u20ac2,500, and (2) charge interest on the invoice amount from the due date at the annual interest rate set and permitted by Belgian law of 2 August 2002 (or any applicable law succeeding it) for creditors, with interest accruing daily until payment is made.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>4. Cancellation policy<\/strong><\/p>\n<p>If a training course is cancelled by the customer, the following conditions apply:<\/p>\n<ul>\n<li>if the training course is cancelled more than 15 working days before the start date of the training course, the supplier will not charge any fees;<\/li>\n<li>if the training course is cancelled less than 15 working days but more than 10 working days before the start date of the training course, and if: (a) the same training course is simultaneously reserved by the customer for another date, the supplier will not charge any fees, or (b) the same training course is not simultaneously reserved for another date, the customer will compensate the supplier with \u20ac250;<\/li>\n<li>if the training course is cancelled less than 10 working days but more than 5 working days before the start date of the training course, and if: (a) the same training course is simultaneously reserved by the customer for another date, the customer will compensate the supplier with \u20ac250, or (b) the same training course is not simultaneously reserved for another date, the customer will pay the full price of the training course;<\/li>\n<li>in addition to the foregoing, if the training course is cancelled less than 10 working days before the start date of the training course, the customer will reimburse all costs and damages incurred by the supplier (and indemnify the supplier against all associated damages) if, as a result of the customer\u2019s cancellation, there are insufficient participants for the training course (unless the supplier can find enough replacements) and the training course must therefore be cancelled due to a minimum number of participants being required.<\/li>\n<\/ul>\n<p>RelyOn reserves the right to cancel or postpone any training course for any reason, and in such a case, RelyOn\u2019s liability for such cancellation is limited to a full refund of any fees paid or, if applicable and acceptable to the customer, the rescheduling of a training course to another date.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>5. Complaints<\/strong><\/p>\n<p>All complaints regarding a training course must be submitted in writing to RelyOn no later than 30 days after the last day of the training course in question.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>6. Certificate<\/strong><\/p>\n<p>A participant must complete all aspects of a training course according to the standards set by RelyOn before receiving a certificate. If a participant does not complete part of a training course, they are not entitled to a certificate. All matters regarding the issuance of certificates are determined by RelyOn at its sole discretion.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>7. Certificate duplicate<\/strong><\/p>\n<p>Requests for duplicates of certificates must be submitted in writing by the customer or participant, specifying the relevant training course, date, name, and date of birth of the participant. A fee will be charged for each duplicate certificate and must be paid before the duplicate is issued.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>8. Accommodation<\/strong><\/p>\n<p>If requested and if available, RelyOn will assist the customer by providing information about local accommodation. RelyOn cannot be held liable for the provision of such information or for any damages (direct, indirect, consequential, or otherwise) arising from any arrangement between the customer or participant and the accommodation provider.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>9. Health and safety<\/strong><\/p>\n<p>It is the customer\u2019s responsibility to ensure that all participants behave responsibly at all times. The customer must ensure that each participant, at all times during the training course:<\/p>\n<p>a) acts in full compliance with all applicable laws and regulations and current health and safety policies;<br \/>\nb) follows all instructions or directions given by RelyOn staff;<br \/>\nc) is not under the influence of alcohol or prohibited substances and does not possess alcohol or prohibited substances.<\/p>\n<p>If a participant fails to comply with the above requirements or if RelyOn reasonably suspects that they have used a prohibited substance or alcohol or if their behavior is deemed unacceptable by RelyOn, RelyOn may, at its sole discretion, require that participant to leave the training course.<\/p>\n<p>RelyOn will notify the customer of such an incident. In such a case, no fees or payments will be refunded to the customer as the participant was unable to complete the training course.<\/p>\n<p>Each participant must read and understand RelyOn\u2019s \u201cParticipant Information\u201d (annex) before attending the training course, and the customer must ensure that the participant does so.<\/p>\n<p>The customer is solely responsible for ensuring that participants are sufficiently fit and capable of participating in any physical exercise that is part of the training course. This includes ensuring they do not suffer from respiratory disorders or heart conditions.<\/p>\n<p>If in doubt, participants are advised to seek appropriate medical advice before the start of the training course. RelyOn reserves the right not to provide training courses to a participant if the company believes that the participant\u2019s attendance may pose a risk to their own health and safety or to the health and safety of others.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>10. Data protection<\/strong><\/p>\n<p>The customer and the participant agree that RelyOn may retain personal information about the participant as part of its personnel records and other business documents, and that RelyOn may process such personal data in the course of its business activities as either the controller or processor, as applicable. The customer will obtain all necessary consent from participants to enable RelyOn to use the personal data in the normal course of its business. This processing may involve transferring the data to countries or territories outside the European Economic Area (&#8220;EEA&#8221;). The customer and participants agree that RelyOn may disclose such information to third parties (including, without limitation, third parties outside the EEA) only to the extent that RelyOn deems such disclosure necessary for the proper conduct of its business. This provision applies to information retained, processed, or disclosed by any means. The customer will at all times comply with and assist RelyOn in complying with any request from a data subject for access and will adhere to all legal and regulatory obligations. The terms \u201cpersonal data,\u201d \u201cprocessor,\u201d and \u201ccontroller\u201d have the same meaning as defined in the Belgian law of 8 December 1992 (or any applicable law succeeding it). The customer shall indemnify RelyOn for any loss, liabilities, damages, and costs arising directly or indirectly from the customer\u2019s failure to comply with the provisions of this clause 10.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>11. Intellectual property rights<\/strong><\/p>\n<p>All copyrights, design rights, and any other intellectual property rights (whether registered or not) used in, arising from, contained in, or created by or in connection with the services remain the sole property of RelyOn. The customer and the participant may not, at any time during or after the training course, claim ownership of these rights or dispute RelyOn\u2019s ownership of them. They must assign these rights to RelyOn so that RelyOn is the owner of such rights.<\/p>\n<p>The materials and information (in any form) provided by RelyOn to the customer or a participant in connection with the services may not be copied, distributed, or made available to third parties. The customer and participants may not use such materials and information for any purpose unrelated to the training course or the services provided by RelyOn.<\/p>\n<p>Unless otherwise specified in the preceding paragraph, a participant has the right to retain the training course materials provided to them for personal use. All other materials related to the training course (in any form) provided to the customer or a participant must be returned to RelyOn upon completion of the training course or earlier at RelyOn\u2019s request. The customer and participants may not copy or otherwise reproduce the materials provided by RelyOn (including course materials) without RelyOn\u2019s written permission.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>12. Liability regarding training courses at RelyOn\u2019s premises<\/strong><\/p>\n<p>12.1 If the training courses are held on premises owned by RelyOn (including premises leased or otherwise used by the company), the liability of the customer, participant, and RelyOn is governed by the provisions set out in this clause 12. For the avoidance of doubt, this clause 12 does not apply if the training courses are held on premises not owned by RelyOn (including premises not leased or otherwise used by the company); see clause 13 below.<\/p>\n<p>12.2 The business customer or individual customer acting on their own behalf is fully liable for all damage to RelyOn\u2019s facilities, including but not limited to fixtures, premises, and equipment, caused by the participant due to negligence.<\/p>\n<p>12.3 If a participant requires medical care or hospital treatment, the customer, or the participant if they are an individual customer acting on their own behalf, bears all costs for such care.<\/p>\n<p>12.4 This clause 12.4 and clauses 12.5 to 12.8 below describe the full financial liability of RelyOn (including liability for acts or omissions of its employees, intermediaries, advisors, and subcontractors) in relation to the customer and\/or participants regarding:<\/p>\n<p>(a) any breach of this agreement;<br \/>\n(b) any use made by the customer or participant of the services provided by the customer or a participant (including course materials or part thereof); and<br \/>\n(c) any claims, statements, or tortious acts or omissions (including negligence) arising from or related to this agreement.<\/p>\n<p>12.5 All warranties, conditions, and other provisions implied by law or custom are excluded to the greatest extent permitted by law.<\/p>\n<p>12.6 Nothing in this agreement limits or excludes RelyOn\u2019s liability:<\/p>\n<p>(a) for death or personal injury caused by negligence; or<br \/>\n(b) for any loss or damage suffered by the customer or participant resulting from fraud or misrepresentation by RelyOn.<\/p>\n<p>12.7 Except as provided in clause 12.6:<\/p>\n<p>(a) RelyOn shall not be liable for:<\/p>\n<p>(i) loss of profits;<br \/>\n(ii) business losses;<br \/>\n(iii) loss of goodwill and\/or similar losses;<br \/>\n(iv) loss of anticipated savings;<br \/>\n(v) loss of goods;<br \/>\n(vi) loss of contracts;<br \/>\n(vii) loss of use; or<br \/>\n(viii) any special, indirect, consequential, or pure economic loss, costs, damages, expenses, liabilities, or expenditures; and<\/p>\n<p>(b) RelyOn\u2019s total liability under the contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution, or otherwise, arising from or in connection with the performance or contemplated performance of the services and this agreement is limited to \u20ac700,000.<\/p>\n<p>12.8 The customer or participant must notify RelyOn in writing as soon as reasonably practicable of any claim relating to this agreement.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>13. Liability regarding training courses at other facilities<\/strong><\/p>\n<p>13.1 If the training courses are held on premises not owned by RelyOn (including premises not leased or otherwise used by the company), the liability of the customer, participant, and RelyOn is governed by the provisions set out in this clause 13. For the avoidance of doubt, this clause 13 does not apply if the training courses are held on premises owned by RelyOn (including premises leased or otherwise used by the company); see clause 12 above.<\/p>\n<p>13.2 RelyOn Holding A\/S is liable for and will indemnify, defend, and hold harmless the customer and the participant against all claims, losses, damages, costs (including legal costs), expenses, and liabilities related to:<\/p>\n<p>(a) loss or damage to property owned by RelyOn or any of its third-party subcontractors (i.e., any subcontractor of RelyOn other than the customer\/participant), regardless of whether such property is owned by, leased to, or otherwise provided by RelyOn or its third-party subcontractors, and arising from or related to the performance of the agreement; and<br \/>\n(b) bodily injury, including death or illness, of any person employed by RelyOn or its third-party subcontractors, and arising from or related to the performance of the agreement.<\/p>\n<p>13.3 The customer is liable for and will indemnify, defend, and hold harmless RelyOn against all claims, losses, damages, costs (including legal costs), expenses, and liabilities related to:<\/p>\n<p>(a) loss or damage to property owned by the customer, the participant, or any of their third-party subcontractors (i.e., any subcontractor of the customer\/participant other than RelyOn), regardless of whether such property is owned by, leased to, or otherwise provided by the customer, the participant, or their third-party subcontractors, and arising from or related to the performance of the agreement; and<br \/>\n(b) bodily injury, including death or illness, of the customer or the participant or any other person employed by the customer, the participant, or their third-party subcontractors, and arising from or related to the performance of the agreement.<\/p>\n<p>13.4 The indemnification provisions in clauses 13.2 and 13.3 above apply regardless of the cause and regardless of the negligence or default (legal or otherwise) of the indemnified party or any other entity or party. They are valid regardless of any claim in tort, contract, or otherwise under applicable law.<\/p>\n<p>13.5 If either party becomes aware of an incident that may lead to a claim under the above indemnification provisions, it will notify the other party and both parties will fully cooperate during the investigation of the incident.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>14. Insurance<\/strong><\/p>\n<p>The customer and RelyOn will maintain all required and customary insurance policies in full force and effect.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>15. Force majeure<\/strong><\/p>\n<p>Neither party will be in breach of these general terms and conditions or liable for failure to perform or delayed performance of its obligations (except for payment obligations) if such failure or delay is caused by acts, events, omissions, or accidents beyond its reasonable control, including but not limited to force majeure, fire, explosion, embargo, terrorism, civil unrest, epidemics, lightning damage, electromagnetic interference, radio interference, strikes, and labor disputes.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>16. Third-party rights<\/strong><\/p>\n<p>A person who is not a party to this agreement has no rights under or in connection with these general terms and conditions.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>17. Severability<\/strong><\/p>\n<p>If any provision (or part of a provision) of these general terms and conditions is found by a court or other competent authority to be invalid, illegal, or unenforceable, that provision or part will, to the extent necessary, be deemed not to form part of the agreement, and the validity and enforceability of the remaining provisions will not be affected.<\/p>\n<p>If any provision (or part of a provision) of these general terms and conditions is found to be illegal, invalid, or unenforceable, that provision will be deemed valid to the minimum extent necessary to make it legal, valid, and enforceable.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>18. Governing law and jurisdiction<\/strong><\/p>\n<p>These general terms and conditions and any disputes or claims arising from or related to them are governed by the laws of the Kingdom of Belgium. These general terms and conditions and any disputes or claims arising from or related to them will be interpreted in accordance with such laws.<\/p>\n<p>The parties irrevocably agree that the courts of the Kingdom of Belgium have exclusive jurisdiction over any disputes or claims arising from or related to these general terms and conditions.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>19. Translation<\/strong><\/p>\n<p>Any local translation of these general terms and conditions is provided solely to assist the customer and participants.
